Ltd.<\/strong> (&#8220;<strong>ScolioLife<\/strong>&#8220;, &#8220;<strong>we<\/strong>&#8220;, &#8220;<strong>us<\/strong>&#8220;, or &#8220;<strong>our<\/strong>&#8220;), a company incorporated in Singapore with its registered office at 302 Orchard Road #10-02A, Singapore 238862. They govern your access to and use of:<\/p>\n<ul>\n<li>the website at <a href=\"https:\/\/scoliotrack.com\/en-uk\/\">https:\/\/scoliotrack.com<\/a> and its subdomains (the &#8220;<strong>Site<\/strong>&#8220;); and<\/li>\n<li>the <strong>ScolioTrack<\/strong> mobile application for iOS and Android, including all features, content, and updates (the &#8220;<strong>App<\/strong>&#8220;).<\/li>\n<\/ul>\n<p>The Site and the App are together the &#8220;<strong>Services<\/strong>&#8220;. Certain features may have additional guidelines or rules, which are incorporated into these Terms when posted.<\/p>\n<p><strong>Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms and by our <a href=\"https:\/\/scoliotrack.com\/en-uk\/privacy-policy\/\">Privacy Policy<\/a>. If you do not agree, do not access or use the Services.<\/strong><\/p>\n<div style=\"background:#fff8e8;border:1px solid #f0a500;border-radius:8px;padding:16px 20px;margin:1.4em 0;\">\n<h2 style=\"margin-top:0;\">Important Medical Disclaimer \u2014 Please Read First<\/h2>\n<p><strong>ScolioTrack is a wellness, education, and self-monitoring tool. It is not a medical device, and it does not provide a medical diagnosis.<\/strong><\/p>\n<ul>\n<li>The Services are designed to help you <strong>screen for and monitor<\/strong> posture and the angle of trunk rotation (ATR) over time, and to organise information about scoliosis. They are <strong>not a substitute<\/strong> for professional medical advice, examination, diagnosis, or treatment, and are <strong>not a replacement<\/strong> for clinical assessment or imaging (such as X-rays) performed by a qualified healthcare professional.<\/li>\n<li>Measurements and trends produced by the Services are <strong>estimates for informational purposes only<\/strong> and may vary in accuracy depending on device, technique, and conditions of use.<\/li>\n<li>The Services have <strong>not been reviewed, cleared, or approved<\/strong> by any medical-device regulator (for example, the U.S. FDA, Singapore HSA, EU notified bodies, or equivalent authorities) and should not be relied upon for clinical decision-making.<\/li>\n<li><strong>Always consult a qualified healthcare professional<\/strong> about any question regarding scoliosis or a medical condition, and before making any health decision. Never disregard or delay seeking professional advice because of something you read or measured using the Services.<\/li>\n<li><strong>In a medical emergency, call your local emergency number immediately.<\/strong> The Services are not for emergencies.<\/li>\n<\/ul>\n<\/div>\n<h2>1. Who may use the Services; minors<\/h2>\n<p>The Services are intended for users aged 18 and over. <strong>Minors<\/strong> (anyone under 18, or under the age of majority in their jurisdiction) may use the Services only with the involvement, consent, and supervision of a parent or legal guardian who agrees to these Terms on the minor&#8217;s behalf and is responsible for the minor&#8217;s use. We do not knowingly collect personal data from children except as described in our <a href=\"https:\/\/scoliotrack.com\/en-uk\/privacy-policy\/\">Privacy Policy<\/a>. If you use the Services on behalf of a minor or another person, you confirm you are authorised to do so. If you use the Services for or within an organisation (for example, a clinic), you represent that you have authority to bind that organisation to these Terms.<\/p>\n<h2>2. Licence to use the Services<\/h2>\n<p>Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your own personal, non-commercial purposes \u2014 or, for healthcare professionals, to support the care of your own patients. Healthcare professionals remain solely responsible for their own clinical judgement and for the care they provide.<\/p>\n<h3>2.1 Restrictions<\/h3>\n<p>You shall not, and shall not permit anyone else to: (a) sell, rent, lease, license, sublicense, distribute, or otherwise commercially exploit the Services except as expressly permitted; (b) copy, modify, create derivative works of, decompile, disassemble, or reverse engineer any part of the Services, except to the extent this restriction is prohibited by applicable law; (c) access the Services to build a similar or competitive product or service; (d) use any automated means (bots, scrapers) to access or collect data from the Services; (e) remove or alter any proprietary notices; (f) upload malicious code or interfere with the security or operation of the Services; or (g) use the Services in any unlawful manner or in breach of these Terms. All copyright and proprietary notices must be retained on all copies.<\/p>\n<h2>3. Accounts and registration<\/h2>\n<p>Some features require an account. You agree to provide accurate and complete information, to keep it up to date, and to keep your login credentials confidential. You are responsible for activity under your account. Notify us promptly of any unauthorised use. We may refuse, suspend, or terminate accounts at our reasonable discretion, including for breach of these Terms.<\/p>\n<h2>4. Subscriptions, payments, and renewals<\/h2>\n<p>The Services may offer free and paid plans (for example, Free, Single, Family, and Clinical plans). Paid plans and in-app purchases are generally billed through the <strong>Apple App Store<\/strong> or <strong>Google Play<\/strong> (&#8220;<strong>App Stores<\/strong>&#8220;) under your App Store account, and are subject to that store&#8217;s terms in addition to these Terms.<\/p>\n<ul>\n<li><strong>Auto-renewal.<\/strong> Unless stated otherwise, subscriptions renew automatically for the same period at the then-current price, unless cancelled at least 24 hours before the end of the current period.<\/li>\n<li><strong>Managing and cancelling.<\/strong> You can manage or cancel a subscription in your App Store account settings. Deleting the App does not cancel a subscription.<\/li>\n<li><strong>Free trials and promotions.<\/strong> If a free trial is offered, unused trial time is forfeited when you purchase a subscription. Promotional offers may have additional conditions.<\/li>\n<li><strong>Refunds.<\/strong> Payments are processed by the App Stores, and refunds are governed by the relevant store&#8217;s policy and by your non-waivable rights under applicable consumer law (see the Country-Specific Provisions below).<\/li>\n<li><strong>Price changes.<\/strong> We may change prices and plan features. Changes apply from the next billing period after reasonable notice, and where required by law we will seek your consent.<\/li>\n<\/ul>\n<h2>5. App Stores<\/h2>\n<p>You acquire the App through the App Stores and your use is also subject to the applicable store&#8217;s terms and usage rules. The App is licensed, not sold, to you. The following apply to the extent your App was obtained through Apple&#8217;s App Store:<\/p>\n<ul>\n<li>These Terms are between you and ScolioLife only, not with Apple. Apple is not responsible for the App or its content.<\/li>\n<li>Apple has no obligation to provide maintenance or support for the App.<\/li>\n<li>To the maximum extent permitted by law, Apple has no warranty obligation for the App, and any claims relating to the App will be our responsibility, not Apple&#8217;s, as set out in these Terms.<\/li>\n<li>Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.<\/li>\n<li>You represent that you are not located in a country subject to a U.S. Government embargo or designated as &#8220;terrorist supporting,&#8221; and that you are not on any U.S. Government list of prohibited or restricted parties.<\/li>\n<\/ul>\n<p>Where the App is obtained through Google Play, your use is also subject to the Google Play Terms of Service.<\/p>\n<h2>6. Your content<\/h2>\n<p>&#8220;<strong>User Content<\/strong>&#8221; means any data, photos, measurements, notes, or other materials you submit to the Services (including health-related information you choose to record). You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, and display your User Content solely to operate, provide, secure, and improve the Services, and as described in our <a href=\"https:\/\/scoliotrack.com\/en-uk\/privacy-policy\/\">Privacy Policy<\/a>. You are responsible for your User Content and confirm you have the rights necessary to submit it. We handle health-related information in accordance with our Privacy Policy and applicable data-protection law.<\/p>\n<h2>7. Intellectual property<\/h2>\n<p>The Services and all content we provide \u2014 software, text, graphics, designs, and trademarks \u2014 are owned by ScolioLife or our licensors and are protected by intellectual-property laws. &#8220;ScolioTrack&#8221;, &#8220;ScolioLife&#8221;, and &#8220;ScolioAlign&#8221;, together with related logos, are our trademarks. Except for the limited licence in Section 2, these Terms grant you no right, title, or interest in our intellectual property. You may not use our trademarks without our prior written consent.<\/p>\n<h2>8. Third-party links, services, and ads<\/h2>\n<p>The Services may contain links to, or advertisements for, third-party websites, products, or services that we do not control. We provide them for convenience only and do not endorse them or accept responsibility for them. Your use of any third party&#8217;s site or service is at your own risk and is subject to that third party&#8217;s terms and privacy practices.<\/p>\n<h2>9. Privacy and health data<\/h2>\n<p>Your privacy matters to us. Our <a href=\"https:\/\/scoliotrack.com\/en-uk\/privacy-policy\/\">Privacy Policy<\/a> explains what personal and health-related data we collect, how we use and protect it, how long we keep it, and your rights (including how to delete your account and data). By using the Services, you acknowledge the Privacy Policy.<\/p>\n<h2>10. Disclaimers of warranties<\/h2>\n<p>To the maximum extent permitted by law, and except for the medical disclaimer above and any warranties that cannot be excluded under applicable law, the Services are provided on an &#8220;<strong>as is<\/strong>&#8221; and &#8220;<strong>as available<\/strong>&#8221; basis. We and our suppliers disclaim all warranties and conditions, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or free of harmful components, or that results or measurements will be accurate or reliable. <strong>Nothing in these Terms excludes or limits any rights you have as a consumer that cannot be excluded or limited under the law of your country of residence<\/strong> (see the Country-Specific Provisions below).<\/p>\n<h2>11. Limitation of liability<\/h2>\n<p>To the maximum extent permitted by law:<\/p>\n<ul>\n<li>We and our suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or the cost of substitute products or services, arising out of or relating to these Terms or your use of (or inability to use) the Services.<\/li>\n<li>Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amounts you paid to us (or through the App Stores for our Services) in the 12 months before the event giving rise to the liability, or (b) SGD 100.<\/li>\n<\/ul>\n<p>Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law \u2014 including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that the law does not allow to be limited. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.<\/p>\n<h2>12. Indemnification<\/h2>\n<p>To the extent permitted by law, you agree to indemnify and hold harmless ScolioLife and our officers, employees, and agents from any claims, damages, losses, and reasonable legal costs arising from your misuse of the Services, your User Content, or your breach of these Terms. We will notify you of any such claim and you may participate in its defence.<\/p>\n<h2>13. Term and termination<\/h2>\n<p>These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access at our reasonable discretion, including for breach of these Terms or to comply with law. On termination, the licence in Section 2 ends and we may delete User Content associated with your account, subject to our <a href=\"https:\/\/scoliotrack.com\/en-uk\/privacy-policy\/\">Privacy Policy<\/a> and applicable law. Sections that by their nature should survive (including Sections 6, 7, 10, 11, 12, 14, and 15) will survive termination.<\/p>\n<h2>14. Changes to the Services and to these Terms<\/h2>\n<p>We may modify, suspend, or discontinue any part of the Services. We may also update these Terms from time to time. If we make material changes, we will give reasonable notice \u2014 for example, by posting the updated Terms on the Site with a new &#8220;Last updated&#8221; date and, where appropriate, by email or in-App notice. Changes take effect when posted unless stated otherwise. Your continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree, stop using the Services.<\/p>\n<h2>15. Governing law and dispute resolution<\/h2>\n<p>These Terms are governed by the laws of <strong>Singapore<\/strong>, without regard to conflict-of-law rules. <strong>If you are a consumer, this choice of law does not deprive you of the protection of mandatory consumer-protection rules of your country of residence<\/strong>, and you may also have the right to bring proceedings in your local courts.<\/p>\n<p><strong>Informal resolution first.<\/strong> Before starting formal proceedings, please contact us at <a href=\"mailto:drkevinlau@scoliolife.com\">drkevinlau@scoliolife.com<\/a> so we can try to resolve the matter. Most concerns can be resolved this way.<\/p>\n<p>Subject to your mandatory local rights and to the Country-Specific Provisions below, the courts of Singapore will have jurisdiction over any dispute, and you may also use any small-claims tribunal available to you. We each remain free to seek urgent injunctive or equitable relief from any court of competent jurisdiction.<\/p>\n<h2>16. General<\/h2>\n<p>These Terms (with the Privacy Policy and any additional posted terms) are the entire agreement between you and us regarding the Services. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, or severed, and the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver. Section headings are for convenience only. &#8220;Including&#8221; means &#8220;including without limitation&#8221;. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. We are not liable for failures caused by events beyond our reasonable control (force majeure). You agree we may communicate with you electronically, and that electronic communications satisfy any legal requirement that communications be in writing.<\/p>\n<h2>17. They reflect mandatory local consumer and data-protection rights that cannot be waived.<\/p>\n<h3>United Kingdom<\/h3>\n<ul>\n<li><strong>Statutory rights for digital content (Consumer Rights Act 2015).<\/strong> If you are a consumer, the digital content we supply must be of satisfactory quality, fit for any particular purpose made known to us, and as described, under Chapter 3 of the Consumer Rights Act 2015. These rights cannot be excluded or limited by these Terms, and any attempt to do so is not binding on you.<\/li>\n<li><strong>Remedies for faulty digital content.<\/strong> Where digital content does not meet those standards, you are entitled to the statutory remedies under the Consumer Rights Act 2015 \u2014 in particular repair or replacement and, where that is not possible or fails, a price reduction; and you may be entitled to a refund where you receive nothing of benefit. If our supply of defective digital content damages a device or other digital content and we did not exercise reasonable care and skill, you may be entitled to repair or compensation.<\/li>\n<li><strong>Services performed with reasonable care.<\/strong> Any service element of the Services must be performed with reasonable care and skill under the Consumer Rights Act 2015, and information we give about the Services that you rely on is binding to the extent provided by that Act.<\/li>\n<li><strong>Cancellation rights (Consumer Contracts Regulations 2013).<\/strong> For paid subscriptions and in-app purchases bought at a distance, you generally have a 14-day right to cancel without giving a reason under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To cancel, contact ScolioLife Pte. Ltd. at <a href=\"mailto:drkevinlau@scoliolife.com\">drkevinlau@scoliolife.com<\/a>. Subscriptions are usually purchased through the Apple App Store or Google Play, and refunds are also handled under those stores&#8217; policies.<\/li>\n<li><strong>Digital content \u2014 immediate-supply exception.<\/strong> Where you give your express consent for supply of paid digital content to begin before the end of the 14-day period and acknowledge that you thereby lose your right to cancel, the cancellation right will no longer apply to that content once supply has begun, in accordance with the Consumer Contracts Regulations 2013.<\/li>\n<li><strong>Unfair terms (Consumer Rights Act 2015, Part 2).<\/strong> A term of these Terms that is unfair to you \u2014 contrary to good faith and causing a significant imbalance in the parties&#8217; rights to your detriment \u2014 is not binding on you under Part 2 of the Consumer Rights Act 2015. The core Terms will continue so far as they can without the unfair term.<\/li>\n<li><strong>No misleading practices.<\/strong> Consistent with the Important Medical Disclaimer above, we make no medical, diagnostic, or treatment-outcome claims; nothing in these Terms affects your protections against misleading or aggressive commercial practices under UK consumer-protection law (including the Digital Markets, Competition and Consumers Act 2024).<\/li>\n<li><strong>Non-excludable liability.<\/strong> Nothing in these Terms excludes or limits our liability where UK law does not permit it \u2014 including liability for death or personal injury resulting from our negligence, for fraud or fraudulent misrepresentation, under the Consumer Rights Act 2015, or under the Consumer Protection Act 1987 (defective products).<\/li>\n<li><strong>Data protection (UK GDPR and Data Protection Act 2018).<\/strong> We process your personal data, including any health-related data you choose to record, in accordance with the UK GDPR and the Data Protection Act 2018, as described in our <a href=\"https:\/\/scoliotrack.com\/en-uk\/privacy-policy\/\">Privacy Policy<\/a>. Health data is processed only on a valid legal basis, normally your explicit consent, which you may withdraw at any time. You have the rights of access, rectification, erasure, restriction, portability, and objection, and the right to lodge a complaint with the Information Commissioner&#8217;s Office (ICO), Wycliffe House, Water Lane, Wilmslow, Cheshire SK9 5AF, <a href=\"https:\/\/www.ico.org.uk\">www.ico.org.uk<\/a>.<\/li>\n<li><strong>Complaints and dispute resolution.<\/strong> If we cannot resolve a complaint directly, you may be able to refer it to a competent alternative dispute resolution (ADR) body; UK consumer ADR is governed by the framework under the Digital Markets, Competition and Consumers Act 2024 and its implementing regulations. You may also use the small-claims procedure in the courts of England and Wales (or the equivalent in Scotland or Northern Ireland).<\/li>\n<li><strong>Governing law and your local rights.<\/strong> The choice of Singapore law in the core Terms does not deprive you, as a consumer resident in the United Kingdom, of the protection of mandatory UK consumer-protection law, and you may bring proceedings in the UK courts.<\/li>\n<\/ul>\n<p><em>\u00a9 ScolioLife Pte.
